1. Acceptance of Terms
By accessing and using LocalUtils (the "Service"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree to these terms, please do not use the Service. You must be at least 13 years of age to use this Service. By using the Service, you represent that you have the legal capacity to enter into a binding agreement. Use of Premium features requires account registration and acceptance of any additional terms presented at the time of purchase.
2. Description of Service
LocalUtils provides browser-based PDF, image, OCR, hashing, QR, JSON, CSV, and encoding utilities. The utility code processes selected content in the browser using JavaScript, WebAssembly, or Web Workers where the individual tool requires them; selected content is not sent to a LocalUtils processing server. Application assets, authentication, billing, feedback, and advertising are separate network-connected features.
3. Acceptable Use
You agree to use the Service only for lawful purposes and in strict accordance with these Terms. You must not: (a) process files or data that you do not have the legal right to access, copy, or distribute; (b) attempt to reverse-engineer, decompile, or extract source code beyond what is explicitly made available publicly; (c) use automated tools, bots, or scripts to access the Service in a manner that places an unreasonable load on our infrastructure or disrupts service for other users; (d) circumvent, disable, or interfere with any security features or access controls; (e) use the Service to create or distribute malicious code or harmful data; (f) impersonate any person or entity or misrepresent your affiliation; or (g) resell, sublicense, or commercially exploit the Service without our express written consent. We reserve the right to suspend or terminate access for any user who violates these conditions without notice.
4. Premium Subscriptions and Billing
Some interface controls are marked Premium, but upgrade purchases are not currently available. If paid access is offered later, the price, billing interval, payment provider, renewal terms, and cancellation method will be shown before purchase.
5. Intellectual Property
The Service — including its software, design, interface, branding, text, and original content produced by LocalUtils — is owned by or licensed to LocalUtils and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes. You retain full ownership of all files, documents, and data that you process using our tools; LocalUtils claims no rights over your content. You may not copy, modify, distribute, sell, or sublicense any part of the Service or its underlying code without our express written permission.
6. Limitation of Liability
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. LocalUtils does not warrant that the Service will be uninterrupted, error-free, or free of harmful components. To the fullest extent permitted by law, LocalUtils shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, loss of revenue, or business interruption — arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claim under these Terms shall not exceed the greater of: (a) the total fees paid by you to LocalUtils in the twelve months preceding the claim, or (b) fifty US dollars ($50.00).
7. Changes to Terms
We reserve the right to modify, update, or replace these Terms at any time at our sole discretion. We will notify users of material changes by updating the "Last Updated" date at the top of this page. For significant changes, we may also provide notice via email to registered users. Your continued use of the Service after any revised Terms become effective constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service.
8. Indemnification
You agree to defend, indemnify, and hold harmless LocalUtils and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of or access to the Service; (b) your violation of any provision of these Terms; (c) your infringement of any third-party rights, including intellectual property or privacy rights; or (d) any allegation that files you process through the Service caused harm to a third party.
9. Governing Law and Disputes
These Terms are governed by and construed in accordance with applicable laws, without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms or your use of the Service should first be raised with us directly, and we will make good-faith efforts to resolve it promptly. If a dispute cannot be resolved informally within thirty (30) days, either party may seek resolution through binding arbitration or a court of competent jurisdiction. You agree that any claims must be brought individually and not as part of any class or representative proceeding.
